La misura precauzionale della limitazione del rimborso della quota nella trasformazione delle Banche popolari

Abstract: 

La riforma del settore delle banche popolari ha rappresentato una esigenza a lungo sentita e un tema a partire dai primi anni 2000. In tale contesto il legislatore ha imposto la trasformazione delle banche popolari con attivo superiore a 8 miliardi in società per azioni, con l’obiettivo di superare da un lato le difficoltà di raccogliere capitale sul mercato e per altro verso i problemi di governancecorrelati al voto capitario. Al fine anche di salvaguardare la stabilità degli istituti coinvolti e pertanto la computabilità delle azioni nel patrimonio di vigilanza di qualità primaria, la riforma, in particolare con il nuovo art. 2, comma 2ter, TUB, ha introdotto la limitazione o anche l’esclusione del rimborso delle azioni in caso di recesso anche a seguito della trasformazione. Il presente contributo affronta i problemi di legittimità di questa misura con riguardo alla tutela costituzionale della proprietà, inquadrandoli in una ampia prospettiva di riorganizzazione del sistema bancario promosso a livello europeo. In particolare si sostiene che le limitazioni sino all’esclusione del diritto al rimborso previste dalle norme in parola non possono essere qualificate e tantomeno ricondotte a misure ablatorie della proprietà. A fronte del pregiudizio subito in termini di modalità di disinvestimento, il socio potrà godere dei possibili vantaggi di una maggiore contendibilità delle azioni sul mercato e di un loro maggiore apprezzamento per effetto dell’intervento di nuovi investitori o di una loro maggiore visibilità sul mercato. 

 

The reform of the cooperative banking sector has been a long-standing need since the early 2000s. In this context, the legislator has imposed the transformation of cooperative banks with assets exceeding € 8 billion into SpA, with the objective of overcoming on one hand the difficulties of raising capital on the market and, on the other hand, towards governance problems related to the per capita vote. In order to safeguard the stability of the institutions involved and therefore the computability of the actions in the primary quality regulatory capital, the reform has introduced the limitation or even the exclusion of the reimbursement of the shares in case of withdrawal also following the transformation (art. 2, paragraph 2ter, TUB). This article deals with the problems of legitimacy of this measure with regard to the constitutional protection of property, framing them in a broad perspective of reorganization of the banking system promoted at European level. In particular, it is argued that the limitations up to the exclusion of the right to reimbursement cannot be qualified and even less traced to ablative measures of the property.
